4.2 Technical Prohibited Conduct

  • Introduce any virus, trojan horse, worm, logic bomb, or other harmful material to the Site;
  • Attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprising or making up any part of the Services;
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein;
  • Circumvent any technological measures we use to protect the Services;
  • Use the Site or Services in any manner that could disable, overburden, damage, or impair it, or interfere with any other party's use of the Services.

5. Ordering, Payment, and Pricing

Your order is not confirmed until you receive an order confirmation email or notification from us. We reserve the right to refuse or cancel any order at our sole discretion, including if there are errors in pricing or availability, or if we suspect fraudulent activity.

All prices displayed on the Site are in United States Dollars (USD) and are subject to applicable sales tax. Prices are subject to change without notice. We strive to display accurate pricing, but errors may occur. In the event of a pricing error, we reserve the right to cancel the affected order and notify you accordingly.

5.4 Refunds and Cancellations

Refunds are issued at our sole discretion and will be evaluated on a case-by-case basis in accordance with our refund policy. Refunds, where approved, will be processed to the original payment method within seven (7) to ten (10) business days.

We are not responsible for delays caused by traffic, weather, third-party delivery services, or other circumstances beyond our reasonable control. Delivery areas, fees, and minimum order requirements may vary and are displayed at the time of checkout.

6. Intellectual Property Rights

All content, materials, and intellectual property on or made available through the Site and Services, including but not limited to text, graphics, logos, images, photographs, audio clips, digital downloads, data compilations, menus, trademarks, trade names, service marks, software, and the overall "look and feel" of the Site (collectively, "Content"), are the exclusive property of Imos Pizza or its licensors and are protected by United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), trademark laws, and other applicable laws.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL IMOS PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS;
  • LOSS OF DATA OR GOODWILL;
  • COST OF SUBSTITUTE GOODS OR SERVICES;
  • PERSONAL INJURY OR PROPERTY DAMAGE;
  • UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN;
  • BUGS, VIRUSES, OR SIMILAR HARMFUL ELEMENTS TRANSMITTED THROUGH OUR SITE BY THIRD PARTIES.

THE FOREGOING LIMITATIONS SHALL APPLY WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF IMOS PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, IMOS PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO IMOS PIZZA IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Imos Pizza and its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;
  • Your use of the Site or Services in a manner not authorized by these Terms;
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or proprietary rights;

If we use third-party delivery services or payment processors to fulfill orders or process payments, those third parties operate under their own terms and conditions, and we are not responsible for their actions or omissions.

12. Governing Law and Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the United States and the applicable laws of the state in which Imos Pizza primarily operates, without giving effect to any conflict of law principles that would require the application of the laws of a different jurisdiction.

To the extent that any dispute is not subject to mandatory arbitration as described below, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the United States for the resolution of any disputes arising from these Terms or your use of the Services. You waive any objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.

Imos Pizza operates in compliance with all applicable federal laws of the United States, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 45), the Electronic Communications Privacy Act, the CAN-SPAM Act, and any other applicable federal statutes and regulations.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Imos Pizza at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. Both parties agree to negotiate in good faith to attempt to resolve the dispute informally within thirty (30) days of receipt of such notice. If the dispute is not resolved within this period, either party may proceed to formal dispute resolution as described below.

13.2 Binding Arbitration

EXCEPT FOR CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF, OR CLAIMS RELATED TO INTELLECTUAL PROPERTY RIGHTS, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR YOUR USE OF THE SITE SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES.

The arbitration shall be conducted in the English language, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court having competent jurisdiction. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration provision.

13.3 Class Action Waiver

YOU AND IMOS PIZZA AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO COMBINE OR AGGREGATE CLAIMS, CONDUCT ANY CLASS PROCEEDING, MAKE ANY CLASS-WIDE AWARD, OR MAKE AN AWARD TO ANY PERSON OR ENTITY NOT A PARTY TO THE ARBITRATION.

If this class action waiver is found to be unenforceable, then the entire arbitration provision shall be null and void, and the dispute shall be resolved in a court of competent jurisdiction.

13.4 Small Claims Court

Notwithstanding the above, either party may bring an individual claim in small claims court if the claim qualifies and remains in such court, and the amount in controversy does not exceed the jurisdictional limit of the applicable small claims court.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or Services or maintain an account with us. We reserve the right, in our sole discretion, to:

  • Suspend or terminate your access to the Site and Services at any time, with or without cause;
  • Deactivate or delete your account and all associated information and files;
  • Restrict access to certain features or portions of the Services.

Grounds for suspension or termination include, but are not limited to:

  • Violation of these Terms;
  • Fraudulent, abusive, or illegal activity;
  • Non-payment of any amounts due to Imos Pizza;
  • Requests from law enforcement or government agencies;

The following provisions shall survive termination of these Terms: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive.

The parties agree that no failure or delay by Imos Pizza in exercising any right, power, or privilege under these Terms shall constitute a waiver of such right, power, or privilege, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices, policies, or agreements published by Imos Pizza on the Site, constitute the entire agreement between you and Imos Pizza with respect to your use of the Site and Services, and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether written or oral, regarding the subject matter hereof.

No amendment to or modification of these Terms shall be binding on Imos Pizza unless made in writing and signed by an authorized representative of Imos Pizza.

18. Waiver

The failure of Imos Pizza to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Imos Pizza in writing. A waiver of any particular breach or default shall not constitute a waiver of any subsequent breach or default.

19. Force Majeure

Imos Pizza shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure arises from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government actions, labor disputes, supply chain disruptions, power outages, internet outages, cyberattacks, civil unrest, or any other event of force majeure. In such events, the affected obligations shall be suspended for the duration of the force majeure event, and we will use commercially reasonable efforts to resume performance as soon as practicable.

20. Electronic Communications

By using our Services, you consent to receiving electronic communications from Imos Pizza, including emails, push notifications, and other messages related to your account, orders, and our Services. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
